3. Scope of These Terms
These Terms govern use of the public WheoLabs website. They do not, by
themselves, create a consulting, development, employment, partnership,
agency, or supplier relationship between you and WheoLabs.
Technology consulting, software development, web and mobile
development, automation, cloud integration, digital marketing, support,
maintenance, and other professional services are provided only after
the relevant parties agree to a separate written proposal, statement of
work, order form, master services agreement, or other service contract.
A separate written agreement may contain provisions concerning:
- Project scope and deliverables
- Fees, deposits, invoices, taxes, and payment terms
- Project milestones and acceptance procedures
- Client responsibilities and required materials
- Intellectual property ownership and licensing
- Confidentiality and data-processing obligations
- Third-party software and service costs
- Maintenance, hosting, support, and service levels
- Warranties, liability, termination, and dispute resolution
If these Terms conflict with a signed agreement relating to paid
professional services, the signed agreement will control for those
services.
4. Eligibility and Authority
The website is intended primarily for businesses, organizations,
entrepreneurs, and adult professionals seeking technology or digital
services.
You must be legally capable of agreeing to these Terms. If you use the
website on behalf of a company or another organization, you represent
that you have authority to act for that organization and to bind it in
relation to your use of the website.
The website is not directed to children. Individuals under the age of
majority applicable in their location should not submit enquiries,
project information, or personal information without appropriate
authorization.
5. Website Purpose and Information
The website provides general information about WheoLabs, our experience,
industries, capabilities, services, working methods, and ways to contact
us.
Website content is provided for general business and informational
purposes. It is not a binding offer, fixed quotation, project commitment,
service-level guarantee, or promise that a particular service, feature,
technology, team member, price, or delivery date will be available.
We may discuss examples, technologies, industries, approaches, or
potential results. Each project is different, and actual scope,
feasibility, cost, performance, timeline, and results depend on the
client’s requirements, existing systems, cooperation, data quality,
technical constraints, third-party services, and other circumstances.
Nothing on the website constitutes legal, accounting, financial,
medical, regulatory, or other licensed professional advice.
6. Enquiries and Consultation Requests
You may use the website to contact WheoLabs, request a consultation,
describe a business challenge, or provide preliminary project
information.
Submitting a form, scheduling a call, sending an email, or receiving an
initial response does not:
- Create a client or professional-services relationship
- Guarantee that WheoLabs will accept the project
- Reserve personnel, capacity, dates, or pricing
- Create confidentiality obligations unless separately agreed
- Guarantee a proposal, quotation, response time, or delivery date
A commercial relationship begins only when the relevant parties approve
a written agreement or other clearly documented engagement.
You agree to provide accurate, current, and reasonably complete
information. We may decline or stop responding to enquiries that are
misleading, unlawful, abusive, unrelated to our services, or outside our
capabilities.
7. Confidential and Sensitive Information
Do not submit confidential source code, system credentials, passwords,
private encryption keys, payment card details, government identification
documents, patient records, medical information, trade secrets, or other
highly sensitive information through general website forms.
If a potential project requires the exchange of confidential or
regulated information, contact us first so that appropriate contractual,
technical, and communication arrangements can be considered.
Information submitted before a confidentiality agreement is signed
should be limited to what is reasonably necessary for us to understand
your general enquiry.

operation of the website - Use automated systems to overload, scrape, copy, harvest, or extract
information from the website in a manner that disrupts the website or
violates applicable law - Impersonate WheoLabs, a WheoLabs representative, another person, or

derivative works from, or commercially exploit website materials without
prior written permission or another valid legal basis.

trademarks, service marks, trade names, or other brand identifiers. No
licence to use them is granted except with prior written authorization.
10. Information and Materials You Submit

submit through the website.

internally, and use the submitted material as reasonably necessary to:
- Respond to your enquiry

- Comply with applicable legal obligations
You represent that you have the necessary rights and authority to submit
the information and that doing so does not violate another person’s
confidentiality, privacy, copyright, contractual, or other legal rights.
We do not claim ownership of your project information merely because it
was submitted through the website.
11. Feedback
You may voluntarily send suggestions or general feedback concerning the
website or our publicly described services.
Unless we agree otherwise in writing, non-confidential feedback may be
used to improve our website, processes, or services without creating an
obligation to compensate you.
This section does not apply to confidential project materials,
proprietary specifications, or intellectual property governed by a
separate written agreement.
12. Third-Party Websites, Tools, and Services
The website may contain links to, integrations with, or content provided
by third-party websites and services. These may include hosting,
scheduling, maps, communications, social media, analytics, embedded
content, security, or other service providers.
Third-party services are operated independently and may have their own
terms, privacy policies, availability, security practices, and fees.
WheoLabs does not control and is not responsible for third-party
websites, content, policies, products, or services.
A link or reference does not necessarily mean that WheoLabs endorses,
sponsors, certifies, or has a commercial relationship with the relevant
third party.
You should review the applicable third-party terms before using an
external service.
13. Privacy
Our collection and use of personal information through the website are
described in our
Privacy Policy.
By submitting information, you acknowledge that we may process it as
described in that policy for purposes such as responding to enquiries,
arranging meetings, preparing proposals, operating the website, and
protecting our systems.
14. Website Availability and Changes
We aim to maintain a useful and reliable website, but we do not guarantee
uninterrupted, error-free, or continuously available access.
We may modify, update, suspend, restrict, replace, or discontinue any
part of the website when reasonably necessary for maintenance, security,
operational, commercial, or technical reasons.
Website descriptions, service categories, examples, technologies,
industries, team structures, and other content may change as our
business and capabilities develop.
We are not responsible for delays or interruptions caused by hosting
providers, internet failures, cyber incidents, maintenance, third-party
services, natural events, government action, or circumstances beyond our
reasonable control.
15. Accuracy of Website Content
We take reasonable steps to keep website information useful and current,
but content may occasionally contain errors, omissions, outdated
information, or technical inaccuracies.
Before making an important business, technical, financial, regulatory,
or purchasing decision, you should obtain information specifically
prepared for your situation.
References to potential improvements, savings, performance, growth,
conversion, efficiency, security, scalability, or other outcomes are
illustrative and are not guaranteed results.
16. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the public website
and its content are provided on an “as is” and “as available” basis.
WheoLabs does not make warranties or representations that:
- The website will always be available or free from errors
- Every item of information will be complete or current
- The website will be free from all harmful components
- The website will satisfy every user’s particular requirements
- Use of the website will generate a particular business result
- A consultation request will be accepted
To the extent permitted by law, we disclaim implied warranties of
merchantability, fitness for a particular purpose, non-infringement, and
any warranties arising from course of dealing or usage of trade.
Nothing in these Terms excludes warranties or statutory rights that
cannot lawfully be excluded.
17. Limitation of Liability
To the maximum extent permitted by applicable law, WheoLabs, Wheonex
Solutions LLC, and their managers, members, contractors, personnel, and
service providers will not be liable for indirect, incidental, special,
exemplary, punitive, or consequential damages arising from use of or
inability to use the public website.
This includes, where legally permitted, loss of profits, revenue,
opportunities, goodwill, anticipated savings, data, business
interruption, or replacement-service costs.
To the maximum extent permitted by law, our aggregate liability arising
exclusively from your use of the public website will not exceed the
greater of:
- USD 100; or
- The amount you paid directly to WheoLabs specifically for access to
the website during the twelve months preceding the event giving rise
to the claim
This website limitation does not determine liability under a separate
signed professional-services agreement. Liability relating to a paid
project will be governed by the relevant agreement.
Nothing in these Terms limits or excludes liability that cannot lawfully
be limited or excluded, including liability for fraud, fraudulent
misrepresentation, or other liability protected by mandatory law.
18. Responsibility for Misuse
To the extent permitted by applicable law, you agree to be responsible
for losses, claims, liabilities, and reasonable costs resulting from:
- Your unlawful or unauthorized use of the website
- Your material violation of these Terms
- Information or materials you submit without the required rights
- Your infringement of another person’s rights
- Your attempt to compromise the website or connected systems
This provision does not require you to compensate WheoLabs for losses
caused by WheoLabs’ own unlawful conduct or negligence where such
responsibility cannot legally be transferred.
19. Suspension and Termination of Access
We may suspend, restrict, or terminate your access to the website when
we reasonably believe that:
- You have materially violated these Terms
- Your activity creates a security or operational risk
- Your activity may violate applicable law or third-party rights
- You are using the website fraudulently or abusively
- Restriction is necessary to protect WheoLabs or another person
Provisions that by their nature should continue after termination will
remain effective, including provisions concerning intellectual property,
disclaimers, limitations of liability, responsibility for misuse,
governing law, and disputes.
20. Electronic Communications
When you contact us electronically, you consent to receive responses and
related communications electronically, including by email or through
scheduling and communication platforms.
You agree that electronic notices and records may satisfy legal
requirements for written communications to the extent permitted by
applicable law.
You are responsible for keeping your contact information accurate and
for checking communications sent to the email address you provide.
21. International Use
WheoLabs operates internationally and the website may be accessed from
multiple countries.
You are responsible for determining whether your use of the website is
lawful in your location. Access to the website does not mean that
WheoLabs offers every service in every jurisdiction or has a physical
establishment in every country from which the website can be viewed.
Mandatory consumer, privacy, or other legal rights applicable in your
jurisdiction remain unaffected where they cannot lawfully be waived.
22. Changes to These Terms
We may update these Terms when our website, services, business practices,
or legal obligations change.
The revised Terms will be published on this page with a new “Last
updated” date. Changes will apply prospectively from the stated effective
date unless applicable law requires a different approach.
Where reasonably appropriate, we may provide additional notice of a
material change. Your continued use of the website after the effective
date means that the updated Terms will govern your subsequent use.
23. Governing Law and Jurisdiction
These Terms and disputes arising exclusively from use of the public
website are governed by the laws of the State of Florida, United States,
without regard to conflict-of-law principles.
Subject to any mandatory rights or jurisdiction rules that apply to you,
the state and federal courts located in Pinellas County, Florida will
have exclusive jurisdiction over disputes concerning these Terms or use
of the public website.
Disputes relating to paid services may be governed by the law,
jurisdiction, mediation, arbitration, or dispute procedures stated in
the relevant written service agreement.
24. General Provisions
Entire Agreement
These Terms and the Privacy Policy constitute the agreement between you
and WheoLabs concerning use of the public website. They do not replace a
separate signed agreement for professional services.
Severability
If any provision of these Terms is found invalid or unenforceable, it
will be limited or removed only to the extent necessary. The remaining
provisions will continue in effect.
No Waiver
A delay or failure to enforce a provision does not waive the right to
enforce it later.
Assignment
You may not transfer your rights or obligations under these Terms without
our prior written consent. We may transfer these Terms as part of a
merger, restructuring, financing, sale of assets, or transfer of the
website or business, subject to applicable law.
No Partnership
These Terms do not create a partnership, joint venture, employment,
franchise, fiduciary, or agency relationship between you and WheoLabs.
Headings
Section headings are included for convenience and do not change the
meaning of the provisions.
